These Terms govern your use of Solace AGI ("Solace", "we"). Solace operates a customer-owned AI technology department: we supply data, run workflows, and build software that our customers own. These Terms are written in plain language and are intended to implement — not contradict — the Ownership Covenant.
Solace provides a managed technology department delivered through the Solace runtime, canonical AI workers, the Solace Browser, and related tooling. We operate this on your behalf and route all network activity through solaceagi.com. You do not receive a self-serve seat license; you subscribe to workers and capacity.
This section implements the Ownership Covenant. As between you and Solace:
Solace assigns to you all rights it holds in the above customer-specific work product, effective on creation, subject to your payment of the fees due for the period in which it was created.
We grant you a license to use Solace-owned components to the extent needed to run your customer-specific software, including after termination for components embedded in deliverables you own.
Where you authorize Solace to act on your accounts or platforms, you grant a limited, revocable delegated authority for that purpose. We use OAuth 2.0-compatible mechanisms where available, record an evidence trail, and honor platform terms and applicable robots/permission signals. You may revoke delegated access at any time; doing so may limit or stop affected workflows.
You will not use Solace to violate law, infringe rights, or breach a third-party platform's terms. You are responsible for the lawfulness of the data you supply and the outreach you authorize.
Our handling of data is described in the Privacy Policy. Solace maintains per-tenant isolation and keeps public/licensed market data (WorldData) separate from your private records. For qualifying engagements, a Business Associate Agreement or additional data-processing terms are available as a contracted option.
Either party may terminate as stated in your order. On termination, and consistent with the Ownership Covenant, you are entitled to receive your repository, a full data export, your workflow definitions, documentation, your complete evidence history, applicable infrastructure files, a transition package, and the rights needed to keep running your customer-specific software. We will not withhold your owned assets as leverage.
Solace provides the service with reasonable skill and care. Except as expressly stated, the service is provided "as is". To the extent permitted by law, neither party is liable for indirect or consequential loss, and each party's aggregate liability is limited as stated in your order (or, absent an order term, to the fees paid in the twelve months preceding the claim). Nothing limits liability that cannot lawfully be limited.
We may update these Terms; material changes will be notified. If a signed order or agreement conflicts with these Terms, the signed document controls. We maintain these Terms to align with the Ownership Covenant; if the two ever diverge, we will correct the Terms toward the Covenant, not weaken the Covenant.
